Terms of Service & Commercial Governance

1. Corporate Agreement
These terms govern your engagement with Pakala Software Private Limited (CIN: U72900TG2020PTC144865). By commissioning engineering services, licensing proprietary software, or procuring vendor subscriptions, your organization agrees to these terms.
2. Custom Engineering & IP Ownership
Unless expressly stated otherwise in a formal Statement of Work (SOW), 100% of bespoke code, database schemas, and tailored integrations developed exclusively for a client become the client's sole intellectual property upon final invoice settlement. Pakala Software retains ownership of its proprietary core platforms (PAKALA GST–AI, TradeFlow, ISP CRM, Design Studio, Tax Office).
3. Payment Terms & Taxes
All invoices are issued in Indian Rupees (INR) or agreed contract currency with applicable Goods and Services Tax (GST). Payment terms are strictly milestone-based as defined in the client's SOW.
4. Limitation of Liability & Jurisdiction
Neither party shall be liable for indirect, punitive, or consequential damages. All legal disputes arising out of contracts with Pakala Software Private Limited are subject to the exclusive jurisdiction of the competent courts in Karimnagar and Hyderabad, Telangana, India.
